About the Report

In 2025, BSF successfully concluded its five-year transformation, marking a pivotal shift from structural change to scalable execution. Having strengthened our foundation for disciplined, sustainable growth, BSF enters a new strategic horizon. We are resilient, modern, and fully aligned to enable Saudi Vision 2030.

This is the first Integrated Annual Report of Banque Saudi Fransi (hereinafter “BSF” or “the Bank”), which presents a unified view of the performance, strategy, and impact of the Bank and its two subsidiaries JB, formerly known as Saudi Fransi For Finance Leasing and BSF Capital, for the period 01 January to 31 December, 2025.

BSF is a publicly listed entity on the Saudi Exchange (Tadawul) and is regulated by the Saudi Central Bank (SAMA) & Capital Market Authority (CMA). BSF’s reporting boundary includes its core business divisions (Corporate Banking, Retail Banking, Private Banking and Treasury), its technology and operations platforms, and its subsidiaries, BSF Capital and JB. This report brings together BSF’s financial results, ESG insights, and stakeholder perspectives, demonstrating its commitment to transparency and long-term value creation. It also highlights how BSF’s governance, strategy, and performance drive innovation, sustainability, and meaningful value across all areas of the business. The report is designed for BSF’s broader stakeholder ecosystem: investors, customers, regulators, employees, partners, and the communities the Bank serves.

2025 concludes BSF’s five-year transformation, showcasing how the Bank strengthened its foundation for disciplined, sustainable growth. Beyond expansion, the year focused on consolidation and readiness, with enhanced capabilities and cultural progress setting the stage for BSF’s ambitious 2030 strategy.

BSF began its ESG journey in 2020, becoming an early mover in formalizing ESG frameworks across governance, risk, and business operations. 2025 witnessed the evolution of BSF’s ESG Governance framework with the merging of the strategy and ESG Board Committees, progressing the commitment to integrating ESG. The transition into Integrated Reporting also reflects this shift to integrating ESG in its strategic execution an decision-making.

Report Framework and Guidelines

This report has been prepared in compliance with all applicable laws, regulations, and disclosure standards relevant to the Kingdom of Saudi Arabia. It also aligns with the principles of the International Integrated Reporting Framework.

The ESG-related disclosures have been prepared with reference to the GRI Sustainability Reporting Standard and with consideration for other sustainability-related reporting standards including the Saudi Exchange (Tadawul) guidelines for ESG disclosure and sector-specific Sustainability Accounting Standards Board standard (SASB - now a part of the International Financial Reporting Standards Foundation). Consideration is also given to the expectations of ESG rating agencies, the Saudi National Standards of Sustainability, the Saudi Vision 2030 (Vision 2030), and the United Nations Sustainable Development Goals (UN SDGs).

The ESG performance data, where applicable, has been reviewed internally under BSF’s ESG Governance framework, the relevant ESG Board and Management Committees, to ensure reliability and accountability of reported outcomes. The Consolidated Financial Statements in this report are prepared in accordance with International Financial Reporting Standards (IFRS) as adopted in Saudi Arabia and endorsed by the Saudi Organization for Chartered and Professional Accountants (SOCPA). These statements adhere to the provisions of the Banking Control Law, the Regulations of Companies in Saudi Arabia, and BSF’s Articles of Association.

Materiality

This report has been developed with full consideration for the priorities, needs, and expectations of the Bank and our stakeholders. These considerations have been determined through a materiality assessment conducted by BSF to better understand our impacts on human, natural, social, and relationship capital and our value creation as they pertain to our stakeholders’ views, interests, and concerns. The content of this report is organized around the Bank’s sustainability framework and material topics.
